Operating Business Model
− Demonstrates a clear and sustainable competitive advantage, with an ability to innovate and withstand
economic downturns
− Scalable business model with growth opportunities and attractive cash flow attributes
Geography
− Headquartered in mid-Atlantic region of United States
Ownership
− Privately-held companies or divestitures of larger private or public companies
Revenues
− Annual revenues ranging from $5 million to $20 million
Profitability
− Operating profit ranging from $1 million to $4 million
Growth Potential
− Business should have excess capacity for organic growth, be scalable to facilitate growth and/or add-on acquisitions
Transaction Situations
Our goal is to acquire an attractive standalone business by working alongside existing management to transition the business operations to the new owner/operator team for long-term, sustainable growth. The ideal existing owner(s) may be interested in exiting the business due to:
• Retirement of owner or majority/minority shareholder
• Corporate divestitures
• Transfer of family business to next generation
• Underperforming operations
• Special situations (we will partner with lenders on distressed or workout opportunities)
